Terms of Use
The agreement that governs your access to and use of Openly.
These Terms of Use (“Terms”) govern your access to and use of Openly, a service of Chaperone Health, Inc., including our websites, mobile applications, AI Assistant, AI Companions, conversations, tools, assessments, programs, resources, memory and personalization features, and related services.
By creating an account, selecting an action that indicates acceptance, accessing Openly, or using the Service, you agree to these Terms. If you do not agree, do not use Openly.
1. Who May Use Openly
Openly is available only to adults age 18 and older. The initial pilot is offered only to users located in Iowa, Minnesota, and Wisconsin. By creating an account or using Openly, you confirm that you are at least 18, have the legal capacity to agree to these Terms, and are using the Service in an available state.
We may change geographic availability as the Service evolves. If we learn that an account is being used by someone under 18 or in an unsupported location, we may restrict or close the account.
2. What Openly Is
Openly is an AI-guided behavioral support and self-guided wellness service for everyday concerns such as stress and overwhelm, motivation and routines, relationships and communication, and life changes. Depending on the experience, Openly may include an AI Assistant for navigation and different AI Companion experiences for conversational support.
Openly is not health care. It is not therapy, psychotherapy, medical care, psychiatric care, diagnosis, clinical treatment, medication guidance, professional clinical advice, or emergency care. Using Openly does not create a physician-patient, therapist-client, or other licensed healthcare-provider relationship.
Openly does not diagnose medical or mental-health conditions, prescribe medications, or provide treatment plans. Nothing in Openly should be treated as a substitute for qualified professional care when such care is appropriate.
3. Openly Is AI, Not a Human Service
The Assistant and Companions in Openly are artificial intelligence systems. They are not human beings, licensed professionals, friends, crisis responders, or people with lived experiences of their own. Openly is designed to make that identity clear in the product experience.
AI-generated responses may be incomplete, inaccurate, inappropriate for your circumstances, or based on misunderstood context. You are responsible for your own decisions and should seek qualified professional help when a decision requires professional judgment.
4. Openly Is Not an Emergency Service
If there is an immediate emergency or danger, call 911 or your local emergency service. In the United States, you may call or text 988 to reach the Suicide & Crisis Lifeline.
Do not rely on Openly for emergency response or immediate crisis intervention. Openly does not provide a monitored human crisis responder, does not continuously monitor conversations through a live human service, and cannot guarantee that a person will review or respond to a message.
Openly uses automated safety systems that may alter the experience and present approved crisis or emergency resources when certain safety signals are detected. Unless Openly explicitly tells you otherwise in a specific situation, Openly has not contacted 911, 988, another crisis service, a clinician, or a trusted person on your behalf.
5. Artificial Intelligence and Personalized Support
Openly may use AI to respond conversationally, summarize information, identify topics, recommend tools or resources, personalize pacing and style, support memory and continuity, and help you navigate the Service.
Each Companion may have a distinct communication style or support approach, but all enabled Companion experiences remain AI and are subject to the same safety, privacy, eligibility, and scope boundaries.
Openly does not authorize third-party AI providers to use private Openly conversations or consumer health data to train their general-purpose AI models. Internal Openly model-improvement use is governed separately and is not enabled unless you give the optional permission described in our AI & Data Use materials.
6. Accounts
Some features require an account. You agree to provide reasonably accurate information, keep account information current, protect your login credentials, not knowingly permit another person to use your account, and notify us if you believe your account has been compromised.
You may not impersonate another person or create accounts for fraudulent, abusive, deceptive, or improper purposes. You are responsible for activity conducted through your account to the extent permitted by law.
7. Communications
By providing an email address or phone number, you authorize Openly to send service-related communications such as authentication codes, account and security notices, support notifications, privacy or legal notices, and important service updates. Openly may communicate by email, SMS, and in-app notification according to available settings and preferences. Standard message and data rates may apply to SMS.
8. Tools, Assessments, Programs, and Resources
Openly may provide assessments, check-ins, tools, exercises, structured content, educational materials, and recommendations. These features are intended for reflection, education, engagement, and self-guided support.
- Assessments and scores are not medical diagnoses.
- Tools, exercises, and programs do not constitute therapy or medical treatment.
- Recommendations are not guarantees of effectiveness or outcomes.
- Content should not be relied on for decisions requiring licensed or professional judgment.
9. Memory and Continuity
Openly may retain selected user-facing memory or conversation context to support continuity and personalization. Available privacy controls may let you review, correct, clear, or start fresh from ordinary conversational context. Starting fresh does not necessarily delete account, safety, security, incident, or other records that are retained under applicable privacy, security, or legal rules.
Openly should not treat an inferred diagnosis or sensitive trait as a durable personal fact merely because it was discussed. See our AI & Data Use page and Privacy Policy for more information.
10. Your Content
“Your Content” means information you choose to submit through Openly, including messages, responses, notes, goals, assessment answers, tool entries, feedback, and similar information. You retain whatever ownership rights you otherwise have in Your Content.
You grant Chaperone Health, Inc. a limited, non-exclusive license to host, store, process, reproduce, transmit, organize, analyze, summarize, and otherwise use Your Content only as reasonably necessary to provide, secure, maintain, personalize, support, and operate Openly consistent with these Terms and our privacy disclosures. This includes delivering conversations, saving progress, maintaining permitted memory, providing recommendations, operating AI-assisted features, enforcing safety controls, and troubleshooting the Service.
This core-service license does not itself authorize internal AI model-improvement use. Model-improvement use is governed by a separate optional permission and applicable privacy disclosures.
11. Privacy
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. Our Consumer Health Data Privacy Notice provides additional information about sensitive support and consumer health data. Our AI & Data Use page explains AI processing, memory, and optional model-improvement use. Our Your Privacy Rights page explains how to submit privacy requests.
Openly conversations are treated as private information under our privacy practices, but they are not legally privileged merely because they occur through Openly. Interacting with an AI Companion does not create the legal privilege that may exist in certain relationships with attorneys or licensed healthcare professionals.
12. Acceptable Use
- Use Openly only for lawful purposes and in a manner consistent with the safety and operation of the Service.
- Do not threaten, harass, stalk, exploit, or intentionally harm another person through the Service.
- Do not attempt to bypass age, state, safety, privacy, access, or security controls.
- Do not gain unauthorized access to another account, system, database, or network; introduce malware; scrape or harvest protected data; or reverse engineer protected source code except where law permits.
- Do not use Openly for fraud, scams, illegal activity, commercial solicitation, or to violate another person’s privacy or intellectual-property rights.
- Do not use automated systems or bots to interact with Openly unless expressly authorized.
13. No Paid Subscription or Rewards at Initial Launch
Openly is free during the initial pilot and does not collect payment-card information for a paid direct-to-consumer subscription. Rewards or points are not part of the initial Openly launch. If paid features or rewards are introduced later, Chaperone will provide applicable terms and disclosures before those features are enabled.
14. Feedback
If you voluntarily send ideas, suggestions, recommendations, or product feedback, you authorize Chaperone to use that feedback without restriction or compensation. This does not give Chaperone ownership of private conversations or personal information merely because they may contain comments about the Service.
15. Intellectual Property
Chaperone and its licensors own Openly and the content made available through it, except for Your Content and third-party materials. This may include software, product design, branding, Companion profiles, tools, educational content, graphics, prompts, and program structure. Subject to these Terms, you receive a limited, personal, revocable, non-exclusive, non-transferable right to use Openly for its intended purposes.
16. Third-Party Services and Content
Openly may link to or integrate services operated by third parties, including crisis resources, educational resources, communications services, and infrastructure providers. Third-party services are governed by their own terms and privacy practices. Chaperone is not responsible for a third-party service merely because Openly links to or integrates with it.
17. Availability and Changes
We work to keep Openly available and functioning, but do not guarantee that the Service will always be available, uninterrupted, error-free, compatible with every device, available in every location, or offered with the same features indefinitely. We may modify, add, suspend, restrict, or discontinue features. Where a change materially affects user rights or privacy practices, we will provide notice when required.
18. Suspension and Termination
You may stop using Openly at any time and may request account closure through the available account or privacy process. Chaperone may restrict, suspend, or terminate access when reasonably necessary because of violation of these Terms, fraud, threatening or abusive conduct, attempts to compromise systems, illegal use, safety concerns, eligibility or geographic restrictions, or operational or legal requirements.
Account closure does not necessarily require immediate deletion of every record. Data handling after closure is governed by our privacy notices, retention practices, and applicable law.
19. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPENLY IS PROVIDED “AS IS” AND “AS AVAILABLE.” CHAPERONE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS DISCLAIM WARRANTIES THAT MAY OTHERWISE ARISE BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.
We do not warrant that Openly will meet every user’s needs, produce a particular emotional, behavioral, health, or other outcome, always produce accurate AI-generated information, operate without interruption or error, or correct every defect. Nothing in these Terms limits rights or warranties that applicable law does not permit us to waive.
20. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHAPERONE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OPENLY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATING TO OPENLY OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID DIRECTLY TO CHAPERONE FOR OPENLY DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. These limitations do not apply to liability that cannot lawfully be limited or excluded.
21. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses, claims, or expenses reasonably arising from your unlawful misuse of Openly, intentional violation of these Terms, infringement of another person’s rights, fraud, or deliberate manipulation of the Service. This provision is not intended to require you to indemnify Chaperone for liability that applicable law does not permit us to shift to you.
22. Resolving Disputes
Before initiating arbitration or litigation, you and Chaperone agree to make a reasonable good-faith effort to resolve a dispute informally. Written notice may be sent to privacy@chaperone.health or by mail to Chaperone Health, Inc., 1500 N Grant St #11603, Denver, CO 80203. The parties will have 30 days after receipt of notice to attempt informal resolution.
If a dispute is not resolved informally, either party may elect binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules, except where applicable law prohibits enforcement. The Federal Arbitration Act governs to the extent applicable. Either party may bring an eligible individual claim in small claims court instead of arbitration. To the extent permitted by law, claims will be brought only in an individual capacity and not as part of a class, consolidated, collective, or representative action.
You may opt out of the arbitration and class-action-waiver provisions by sending written notice to privacy@chaperone.health or the mailing address above within 30 days after first accepting these Terms. Opting out will not affect your ability to use Openly.
23. Governing Law and Venue
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise. For disputes not subject to arbitration, you and Chaperone consent to jurisdiction and venue in the appropriate state or federal courts located in Denver, Colorado, except where applicable law provides otherwise.
24. Changes to These Terms
We may update these Terms as Openly changes. When we make material changes, we will provide reasonable notice as appropriate and request additional acceptance where required by law. The effective date at the top of the published Terms identifies the current version.
